Secured Party’s Sale of Property at Public Auction
DESCRIPTION OF THE PROPERTY TO BE SOLD
All of the Secured Party’s right, title and interest in and to, all of the intellectual property of Espresso Bookstore & Café Holdings, LLC (“Espresso”) including but not limited to, four (4) trademarks for “Shakespeare & Co.” registered with the United States Patent and Trademark Office with Registration Numbers 5,148,771; 5,578,147; 5,578,145; and 5,578,146 (“Espresso’s Trademarks”), and domain names shakeandco.com and shakespeare.co (the “Domains”); all of the intellectual property of On Demand Books, LLC (“ODB”) including but not limited to, an exclusive license agreement dated October 3, 2007 (the “Exclusive License”) between a non-party licensor (the “Licensor”), and ODB as licensee (the “Licensee”), to exclusively use the Licensor’s patents in connection with certain ODB-owned technology known as the Espresso Book Machine (the “EBM”), relating to the automatic on-demand, point-of-sale printing, laminating, binding, and/or trimming of publications which incorporates, among other things, Licensor’s patents, subject to the Exclusive License, numbered 8556563, 7963733, 8408545, and 8739730 (“Licensor’s Patents”), and ODB’s trademarks on “Espresso Book Machine” and “EspressNet” known as application numbers 1341419, 1341422, 008820722, 009425497, 301548081, 77057902, and 77057921 (“ODB’s Trademarks”), and ODB’s copyrighted software known as EspressNet used in connection with the operation of the EBM which incorporates Licensor’s Patents and all other know-how, drawings, engineering plans, designs, printers, marketing and sales plans, and other intellectual property either owned by ODB or used by ODB, in connection with the development, creation, marketing and selling of the EBM thereto.

THERE IS NO WARRANTY RELATING TO TITLE, POSSESSION, QUIET ENJOYMENT, OR THE LIKE IN THIS DISPOSITION.
