Tegan called the meeting to order and reminded the Board of our commitment to antiracism, equity, access, and representation in our discussions, and our continued exercise of Board Norms. Board Members were invited to share any dualities/conflicts of interest in the chat. Jake noted his service on the Bookshop.org Board.
12:40 pm ET: April Board Meeting Minutes
Diane moved to approve the April Board meeting minutes, seconded by Jake. Motion passed unanimously.
12:41 pm ET: Committee Updates
The following committees are scheduled to meet in the next month: Nominating Committee, Board Pipeline Committee, and Governance Review Committee.
Audit Committee reviewed their proposed lengthening future terms of ABA member representatives on the Audit Committee to two years for increased continuity and engagement of committee members.
12:45 pm ET: CEO Report

The Board and Allison Hill moved into Executive Session to review a member grievance.
4:00 pm ET: Resumed Regular Board Meeting
ABA Staff were invited back to meeting for continued business.
4:06 pm ET: Meeting Adjourned
With acknowledgment and thanks to Tegan Tigani for her outstanding Board leadership as President, the meeting was adjourned. Diane moved to end the meeting, Jake seconded, all present voted in favor.

Cynthia Compton called the meeting to order. The Board welcomed new Board member Paul Hanson. Jenny Cohen joined the meeting.
